In an attempt to protect their business interests, employers frequently require employees to sign restrictive covenant agreements that impose post-employment contractual obligations on them, such as non-compete, non-solicitation, and confidentiality obligations.
Generally speaking, restrictive covenants prohibit employees from competing against the employer for a certain period of time following the termination of their employment, prohibit employees from soliciting the employer’s customers or employees for a certain period of time following the termination of their employment, and prohibit departing employees from disclosing the employer’s trade secrets and/or confidential and proprietary information.
